# CP4U Platform — End-User Licence Agreement & AI Services Addendum

> **Note for Users:** This End-User Licence Agreement ("EULA") governs the software-licence aspect of Platform use. It sits alongside the Terms of Service (which governs the service relationship) and the Privacy Policy (which governs data). The AI Services Addendum is appended as it constitutes a meaningful additional layer of terms specific to AI features, drafted for Malaysian and Singaporean law and CP4U's specific AI architecture.

## Part 1 — End-User Licence Agreement

### 1. The licence we grant you

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the CP4U Platform — including web interfaces, mobile applications, APIs we publish, and AI features — solely for the purposes set out in the Terms of Service.

This licence is personal to you. You may not transfer, lease, or sublicense it. If you are an Employer or Agency Partner using the Platform via team sub-accounts, each individual team member's use is under their own licence with their own acceptance.

### 2. What the licence allows

You may:

- Sign in and use the Platform for its intended recruitment, hiring, candidate, partner, or admin purposes.
- Generate outputs using the Platform's AI features (subject to Part 2 below).
- Download AI-generated outputs that you have lawfully created (e.g., a job ad you generated, a JD extraction summary) for use in your own recruitment activities.
- Reasonably cache or print materials from the Platform for your own working use.
- Use the Dollarize brand assets we provide to Partners, in accordance with the Brand Guide.

### 3. What the licence does not allow

You may not:

- Copy, modify, distribute, sell, lease, rent, sublicense, or commercially exploit the Platform software.
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Platform.
- Remove, modify, or obscure any copyright, trademark, or other proprietary notice.
- Use the Platform to build a product that competes with the Platform.
- Use any automated means (bots, scrapers, headless browsers, crawlers) to access the Platform except via APIs we explicitly publish for that purpose.
- Bypass, disable, or circumvent any security feature, rate limit, geofence, or access control.
- Use the Platform to violate law, infringe rights, or harm any person.
- Use any user data extracted from the Platform for purposes other than your intended use case (e.g., taking candidate contacts and selling them as a lead list elsewhere).
- Modify, fork, or redistribute the Platform's open-source dependencies in violation of their respective licences.

### 4. Open-source notices

The Platform depends on open-source software. We respect those licences and acknowledge the contributions of their authors. A current list of dependencies and their licences is published at `cp4u.work/legal/open-source` (planned). Where any open-source licence requires that we provide source or notices to end users, we do so via that page.

### 5. Updates and changes

We may update, modify, suspend, or discontinue any part of the Platform at any time. We aim to give reasonable notice of changes that materially affect users' working flows, but we are not obliged to maintain backwards compatibility forever.

If your use depends on a specific feature, do not assume it will exist indefinitely. We will tell you when major sunsetting is planned.

### 6. Termination

This licence terminates automatically when:

- Your account is closed (by you or by us).
- You materially breach the Terms of Service or this EULA.
- The Platform is discontinued.

On termination:

- You must stop using the Platform.
- You must remove any locally cached or downloaded Platform-derived material, except AI-generated outputs you lawfully created (which you may continue to use, subject to Part 2 below).
- Provisions that by their nature survive (IP, indemnity, liability, governing law) remain in force.

### 7. Intellectual property

**7.1 Our IP**

The Platform — including its design, code, content, AI prompts, workflow architectures, brand assets (CP4U, Dollarize, Sunrise Recruit logos and wordmarks), and documentation — is owned by CP4U or its licensors and protected by intellectual property law. No rights are granted to you in our IP except as expressly set out in this EULA and the Terms.

**7.2 Your IP**

You own your IP (your Content, as defined in the Terms). The licence you grant us to host and process it is described in the Terms.

**7.3 Feedback**

Suggestions, feature requests, and product feedback you give us are non-confidential. We may use them freely without compensation.

**7.4 AI outputs**

Special treatment in Part 2 below.

### 8. Limitation

Subject to law, the Platform is provided "as is". We disclaim all warranties to the maximum extent allowed. Our aggregate liability under this EULA is bounded by the liability cap in the Terms (Section 15.2).

### 9. Export control

You confirm you are not located in a country subject to sanctions that prohibit our offering the Platform to you, and that you are not on any restricted-party list under Malaysian, Singaporean, US, or UN sanctions regimes.

### 10. Governing law and Jurisdiction

This EULA is governed by the laws of Malaysia and is subject to the dispute resolution procedure set forth in Section 18.2 of the Terms of Service (incorporating final and binding arbitration administered by the Asian International Arbitration Centre ("AIAC")).

## Part 2 — AI Services Addendum

This Addendum applies whenever you use any AI feature on the Platform — including but not limited to JD extraction, ad copy generation, application scoring, quality checks, translation, and any AI-augmented matching.

### 11. What the AI features are

CP4U uses AI to assist humans, not replace them. Our AI features include:

- **JD Extraction** — when an Employer uploads a JD, AI extracts structured fields (skills, seniority, location, etc.) for review.
- **Ad Copy Generation** — given a job's details, AI drafts platform-ready posts for LinkedIn, Facebook, Threads, Instagram, X, or WhatsApp.
- **Quality Check** — AI scans job postings for discriminatory language, completeness, salary reasonableness, and other quality signals; flags for human review.
- **Application Scoring** — AI computes a match score for applications and surfaces it as advisory information to Employers.
- **Career Fair AI assist** — AI surfaces real-time match suggestions during live events.
- **Translation** — AI translates content between English, Chinese, and (planned) Malay.
- **Other** — features we may add from time to time, each labelled as AI-assisted in the interface.

### 12. The AI engines we use

We use third-party AI providers, with our own architecture (`sr-proxy`) as a credential vault between the Platform and the providers. Currently:

- **Anthropic Claude** — primary engine for most features (extraction, scoring, generation, quality check).
- **Google Gemini** — secondary engine, user-selectable in some flows.
- **(Reserved)** — we may add other providers; we will update this list materially.

We have no formal affiliation, sponsorship, or special partnership with these providers beyond standard commercial use of their APIs.

### 13. Your inputs

When you use an AI feature, you provide inputs — text, files, structured data, or operational signals. By doing so:

- You represent that you have the right to provide those inputs (e.g., you own the JD you upload, or you have rights to the resume text you paste, or you have candidate consent to score their application).
- You agree we may process those inputs to provide the feature.
- You agree that processing may involve transmission to and processing by the third-party AI provider (which may operate outside Malaysia and Singapore — see Privacy Policy Section 9 on cross-border transfer).
- You acknowledge that the third-party provider has its own terms and privacy practices. We configure the integration to minimise data exposure and (where the provider offers it) opt out of model training on Platform data.

### 14. AI outputs and their use

**14.1 What outputs are**

AI outputs are the text, score, summary, or recommendation generated for you by an AI feature.

**14.2 Quality and reliability**

AI outputs are advisory. We do not warrant their accuracy, completeness, freedom from bias, freedom from error, or suitability for any particular use. You must exercise your own judgement before relying on AI output, especially for decisions that affect another person (e.g., hiring, rejecting, ranking).

The fact that AI outputs can be wrong is well-known and is an industry-wide reality. We make best efforts to engineer prompts and workflows that minimise hallucination and bias, but no AI system is perfect.

**14.3 Ownership and use of outputs**

Subject to your full compliance with this EULA and the Terms, CP4U hereby assigns to you all its right, title, and interest (if any) in and to the AI outputs generated by your lawful use of the Platform's AI features. You retain full commercial responsibility for such outputs. Where we surface AI outputs labelled as such within the Platform, you must not strip those labels when reusing them internally within the Platform interface.

**14.4 No automated legal-effect decisions**

We do not use AI to make decisions that produce legal effects or similarly significant effects on individuals. Hiring, rejecting, paying, suspending — these are human decisions. AI is input, not output.

**14.5 Human review on request**

If an AI-influenced decision has been made about you on the Platform and you believe it is unfair, you may request a human review by writing to `sean@sunriserecruit.com`. We will use reasonable commercial endeavors to review such requests and respond within a reasonable timeframe, subject to operational capacity and verification of the claimant's identity.

### 15. Prohibited uses of AI features

You may not use the Platform's AI features to:

- Generate misleading job postings you know to be inaccurate.
- Generate candidate profiles that misrepresent you or anyone else.
- Generate communications designed to harass, defame, or threaten any person.
- Generate content that incites hate, violence, or discrimination.
- Produce sexual or violent content.
- Reverse-engineer the underlying AI models, their prompts, or their training.
- Use the Platform's AI as a free general-purpose AI service for unrelated tasks (e.g., asking the AI ad generator to write a wedding speech). We monitor for abusive use patterns.
- Extract Platform AI prompts or workflow internals.
- Train competing AI systems using outputs from our AI features.
- Bypass content filters or quality checks by prompt-engineering tricks.

Violations are treated as Platform misuse under the Terms of Service.

### 16. AI content labelling

Where AI outputs are displayed prominently on the Platform, we label them — usually with a small ✦ icon or "AI-generated" tag. You must not remove these labels from the in-Platform display.

When you export an AI output for use elsewhere (e.g., copying a generated ad to paste on LinkedIn), the label is no longer visible — but you remain responsible for any disclosure obligation that may apply under the law of your jurisdiction (e.g., some jurisdictions require that AI-generated content be disclosed as such in certain contexts).

### 17. Data retention for AI

**17.1 Inputs**

Inputs you provide for AI processing are retained per the Privacy Policy's general retention rules, plus an additional 30 days to allow debugging and incident response on the AI pipeline. After that, AI-specific copies are deleted.

**17.2 Outputs**

Outputs we generate are retained as part of the Platform's normal Content storage. Where you have downloaded an output and used it externally, that copy is yours.

**17.3 Provider-side retention**

Third-party AI providers retain transient data per their own terms. We configure to minimise this and to disable training on our data where the provider supports it.

### 18. Cost and rate limits

AI features cost us money. We may impose:

- **Free quotas** — e.g., a certain number of ad generations per Employer per month.
- **Paid upgrades** — for high-volume users.
- **Rate limits** — to prevent abuse.

We disclose these in the interface. Exceeding limits triggers either a paywall, a wait period, or (for abuse patterns) an account review.

### 19. Changes to AI features

AI is fast-evolving. We may add, change, or remove AI features. We may switch providers. We may update prompts or workflows. We may publish updated terms specific to a new AI feature.

We aim to give reasonable notice of material changes that affect your use, especially where your existing data or outputs are involved.

### 20. Disclaimers specific to AI

Without limiting the disclaimers in the Terms of Service:

- We do not warrant AI output quality, accuracy, or freedom from bias.
- We do not warrant that AI outputs are non-infringing of any third-party right.
- We do not warrant that AI features will be available continuously — provider outages, model deprecations, or policy changes by providers may temporarily or permanently affect features.
- We are not liable for any losses, disruptions, or claims arising from the acts, omissions, policy changes, rate-limiting, or service deprecations of third-party AI providers (including but not limited to Anthropic and Google), which shall be deemed as Force Majeure events beyond CP4U's reasonable control.

### 21. Indemnity for AI misuse

You indemnify us against claims arising from your misuse of AI features — including claims that you generated misleading or defamatory content, that you trained competing AI on our outputs, or that you used our AI to harm a third party. This indemnity is in addition to the general indemnity in the Terms.

### 22. Acknowledgement

By signing up, ticking the consent box, or continuing to use the Platform after the effective date of this EULA, you confirm you have read, understood, and accept the EULA (Part 1) and the AI Services Addendum (Part 2).

If you do not accept, do not sign up; if you are already a user and do not accept the updated version, close your account before the effective date.
